Envision Management Holding Inc.’s board of directors agreed to settle a 1,000-person class action challenging a2017 employee stock ownership plan transaction, averting a planned 10-day trial.
The parties announced the deal Oct. 23, three days before the case was scheduled go to trial before Judge Charlotte N. Sweeney in the US District Court for the District of Colorado. Sweeney ordered the parties to submit details of the agreement for court approval by Dec. 4.
The lawsuit targets a 2017 transaction in which the medical imaging provider’s former owners sold their shares to a newly created ESOP at an allegedly inflated price. Envision’s directors said the dispute should be resolved through arbitration, but both the district court and the US Court of Appeals for the Tenth Circuit disagreed.
